General Terms

\n Welcome to the See Sight Tours Partner Program, an online portal\n and program offering a suite of optional business services\n (“Services”) including but not limited to the See Sight Tours\n Agent Program and the See Sight Tours Affiliate Program.\n

\n This Agreement contains the terms and conditions that govern your\n access to and use of the Services through a particular account and\n is an agreement between you or the business you represent (as\n provided in the sign-up process and as set out in the Account\n Information section of the See Sight Tours Partner Program\n platform) and See Sight Tours, Inc. (the “Agreement”). By\n registering for or using the Services, you (on behalf of yourself\n or the business you represent) agree to be bound by the terms of\n this Agreement, including the Service terms and applicable\n policies for each Service you register for or use (each, a set of\n “Service Terms”).\n

\n

\n If you are collaborating with See Sight Tours pursuant to a\n commercial arrangement not described in Sections A or B of this\n Agreement, the contractual terms that relate to such arrangement\n will be separately agreed between you and See Sight Tours, and\n those separately-agreed contractual terms will prevail over any\n conflicting terms in this Agreement.\n

\n As used in this Agreement, “we”, “us” and “See Sight Tours” means\n See Sight Tours,, and “you” means the person (if registering for\n or using a Service as an individual), or the business the person\n is employed by or represents (if registering for or using a\n Service on behalf of a business).\n

\n

\n Capitalized terms have the meanings listed in the Definitions\n section below. If there is any conflict between these General\n Terms and the applicable Service Terms, the Service Terms will\n govern.\n

\n The version of this Agreement in English is the definitive legal\n version. Any translated versions are available for ease of\n reference only.\n

1. Registration

\n

\n To start using a Service, you must complete the registration\n process for one or more of the Services by providing all of the\n required information within the Account Information section of the\n See Sight Tours Partner Program platform. Use of the Services is\n limited to parties that can lawfully enter into and form contracts\n under applicable law. Before you can begin to access or use any of\n the Services, you must provide us with certain mandatory pieces of\n information, including but not limited to your legal name (and/or\n that of your business), address, telephone number, website address\n (if applicable) and e-mail address. We may at any time cease\n providing any or all of the Services at our sole discretion and\n without notice.\n

2. Term/termination

\n

\n The term of this Agreement will start on the date of your\n completed registration of a See Sight Tours Partner Program\n account (“See Sight Tours Partner Program Account”) and shall\n continue until terminated by us or you as provided below (the\n “Term”). We may terminate or suspend this Agreement or any Service\n immediately by notice to you for any reason at any time. You may\n terminate this Agreement or any Service for any reason at any time\n by the means then specified by us. Termination or suspension of a\n Service will not terminate or suspend any other Service unless\n explicitly stated. Upon termination, all rights and obligations of\n the parties under this Agreement will terminate, except that\n Sections 2, 4 - 9, and 15 - 19 will survive termination. Any terms\n that expressly survive according to the applicable Service Terms\n will also survive termination.\n

\n 3. Intellectual Property; Content\n

\n

\n 3.1 You agree and acknowledge that the Customer\n Information, the See Sight Tours Marketplace, the Travel Product\n Information, the Travel Product Links, the See Sight Tours APIs,\n and all information, technology and materials related thereto, and\n intellectual property rights therein and thereto, are the sole\n property of See Sight Tours or its licensors, and you may not\n display, use or reproduce such materials, technology and\n information for any purpose, other than as expressly set forth in\n this Agreement.\n

\n

\n 3.2 If a license is granted to you under a set of\n Service Terms, you may offer and make available for purchase all\n or some of the Travel Products, but must display all Travel\n Product Information provided by See Sight Tours with respect to\n any Travel Product displayed or otherwise promoted by you. You may\n not add to, enhance, supplement, alter, modify or amend the Travel\n Product Information in whole or in part without See Sight Tours's\n prior consent. You will promptly correct any errors or\n inaccuracies of which See Sight Tours notifies you. You may not\n systematically analyze or extract information (including guest\n reviews) from the See Sight Tours Marketplace or Agent\n Marketplace, and shall not copy, in whole or in part, the look and\n feel or content of the See Sight Tours Marketplace or Agent\n Marketplace, except as permitted under this Agreement, or\n otherwise authorized by See Sight Tours in writing. You shall make\n all Travel Product Information non-indexable by search engines.\n

\n

\n 3.3 See Sight Tours may make certain\n Participation Data available to you from time to time. You may\n display and/or distribute such Participation Data within your\n organization for internal business purposes only. No other\n internal or external distribution of any of the Participation Data\n is permitted. You acknowledge that you will not acquire any\n proprietary rights (including copyright and any other intellectual\n property rights) in the Participation Data and/or any of the\n Services, all of which shall be retained by See Sight Tours.\n

\n

\n 3.4 Unless otherwise stated in the Service Terms,\n all licenses granted to you are personal to you and you may not\n assign, mortgage, charge or grant any liens or other rights in or\n to the licensed rights or otherwise transfer or sublicense the\n licensed rights without the prior written consent of See Sight\n Tours.\n

\n

\n 3.5 You agree and acknowledge that all requests\n to purchase a Travel Product are subject to acceptance by See\n Sight Tours, in accordance with the terms and conditions specified\n on the See Sight Tours Marketplace or Agent Marketplace. Travel\n Products are subject to cancellation, restrictions and penalties,\n which vary and are detailed in the Travel Product Information for\n each Travel Product.\n

\n

\n 3.6 You will not register any domain name(s)\n containing the word See Sight Tours (or any similar misspelling\n of) nor contain any words relating to See Sight Tours. You are not\n authorized (directly or indirectly) to purchase, acquire, use or\n integrate trademarked terms or keywords (including variations and\n misspellings) that are identical or strikingly similar to those\n used by the other party or affiliates, or any related\n internet-domain names in association with advertising through paid\n search entries or other forms of online-advertising on platforms\n of third parties. Without prejudice to the generality of the\n foregoing, you are not permitted to engage in any use of See Sight\n Tours’s name or brand, including but not limited to use in any\n keyword brand bidding and/or the practice generally known as ‘ad\n hijacking’.\n

\n 3.7 Each party grants to the other party the\n right to display that party’s names, logos, marks and trademarks\n only for the purpose of advertising the distribution partnership\n as permitted hereunder, identifying the source of the Travel\n Product Information and the parties’ responsibility for Customer\n service, or for similar commercially reasonable purposes.\n Notwithstanding the foregoing, you will submit to us all proposed\n uses of our names, logos, marks and/or trademarks, and will not\n publish or otherwise engage in any use the same without our prior\n written consent.\n

\n

\n 3.8 You acknowledge and agree that See Sight\n Tours’s and its affiliated websites may implement mechanisms that\n allow Customers to rate and provide feedback, reviews and\n commentary regarding the Travel Products, and agree that all such\n ratings, feedback, reviews and commentary are (as between the\n parties) owned by See Sight Tours.\n

\n

\n 3.9 You shall enact and display on all Partner\n Sites at all times during the Term a notice and takedown procedure\n (“NTP”). Your NTP must require that a notification of claimed\n infringement be a written communication provided to:\n

    \n
  1. \n (a) your designated agent (referred to further in Section\n 3.9), to the extent that any Partner Site is hosted in the US;\n and/or\n
    2. \n
  2. \n (b) you directly, to the extent that any Partner Site is\n hosted outside the US.\n
    3. \n
\n Your NTP must also require that such written communication\n contains all of the minimum requirements set out in applicable law\n (including but not limited to the Digital Millennium Copyright Act\n of 1998 (“DMCA”), and the Electronic Commerce Directive 2000, as\n implemented).\n

\n\n

\n 3.10 In respect of any Partner Site hosted in the\n US, you shall:\n

    \n
  1. \n (a) designate an agent for service of copyright claims:\n
      \n
    1. (i) on such Partner Site(s); and
      2. \n
    2. \n (ii) in an online filing with U.S. Copyright Office;\n
      3. \n
    \n
    2. \n
  2. \n (b) write, adopt, and post on each such Partner Site a “repeat\n infringer policy”, in accordance with the requirements of the\n DMCA.\n
    3. \n
\n

\n 3.11 If at any time you receive a legal complaint\n regarding a picture or text that has been provided by See Sight\n Tours, you shall immediately (a) notify See Sight Tours of the\n existence and detail of such complaint by email to Info@see sight\n tours.com, and (b) promptly provide all relevant information and\n assistance regarding the claim to See Sight Tours as may be\n requested.\n

4. Representations

\n

\n 4.1 You represent and warrant to us that:\n

    \n
  1. \n (a) you have full power and authority to execute and deliver\n this Agreement, and have all licenses, authorizations,\n consents, approvals and permits required by all applicable\n laws and regulations in order to perform your obligations and\n exercise your rights hereunder; and\n
    2. \n
  2. \n (b) you shall comply with all applicable international,\n federal, state and local laws and regulations (including but\n not limited to consumer protection and data privacy laws).\n
    3. \n
\n If you are using the Services as a corporate entity, you further\n represent and warrant that such entity is duly organized and\n validly existing in accordance with the laws of the state (or\n country) of its incorporation, that it has full corporate power\n and authority to execute and deliver this Agreement and has all\n licenses, authorizations, consents, approvals and permits required\n by all applicable laws and regulations in order to perform its\n obligations hereunder. You agree that you will not do or omit to\n do any act that, in See Sight Tours sole opinion, may be likely to\n cause See Sight Tours or the See Sight Tours Marketplace or Agent\n Marketplace to be disparaged, defamed, discredited or brought into\n disrepute.\n

\n\n

\n 4.2 Each party represents and warrants that:\n

    \n
  1. \n (a) this Agreement constitutes a legal, valid and binding\n obligation upon it, enforceable in accordance with its terms\n by appropriate legal remedy; and\n
    2. \n
  2. \n (b) the execution, delivery and performance of this Agreement\n by such party does not conflict with any agreement, instrument\n or understanding to which it is a party or by which it may be\n bound, nor violate any law or regulation of any court,\n governmental body or other agencies having jurisdiction over\n it.\n

5. Indemnification

\n

\n You will indemnify and hold harmless, and at See Sight Tours's\n request defend, See Sight Tours (including without limitation\n all companies in the See Sight Tours group and See Sight Tours's\n affiliates) and any of their respective directors, officers,\n employees, agents, suppliers, licensors, vendors, distributors\n and service providers (each a \"See Sight Tours Indemnified\n Party\") from and against any and all claims, losses,\n liabilities, damages, fines, penalties, settlements, expenses,\n and costs (including attorneys' fees and court costs) incurred\n or suffered by a See Sight Tours Indemnified Party in connection\n with any third party claim, suit, demand, action, or\n investigation brought against a See Sight Tours Indemnified\n Party directly or indirectly arising out of or relating to your\n breach (or a claim that, if true, would be a breach) of this\n Agreement, including, without limitation, any and all of your\n representations and warranties in this Agreement.\n

6. Disclaimer

\n EXCEPT AS SPECIFICALLY PROVIDED IN THIS AGREEMENT, See Sight\n Tours DOES NOT MAKE, AND EXPRESSLY DISCLAIMS, ANY\n REPRESENTATIONS OR WARRANTIES IN CONNECTION WITH THE TRAVEL\n PRODUCTS, TRAVEL PRODUCT INFORMATION, TRAVEL PRODUCT LINKS, See\n Sight Tours MARKETPLACE, AGENT MARKETPLACE OR OTHER SUBJECT\n MATTER UNDER THIS AGREEMENT, WHETHER EXPRESS, IMPLIED, STATUTORY\n OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF\n MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-\n INFRINGEMENT OF THIRD PARTY RIGHTS, TITLE, ANY WARRANTIES\n ARISING OUT OF A COURSE OF PERFORMANCE, DEALING OR TRADE USAGE.\n See Sight Tours DOES NOT GUARANTEE THAT THE TRAVEL PRODUCT\n INFORMATION, TRAVEL PRODUCT LINKS, REFERRAL LINKS, See Sight\n Tours APIS, PARTICIPATION DATA, See Sight Tours MARKETPLACE OR\n AGENT MARKETPLACE WILL BE ALWAYS AVAILABLE, ACCESSIBLE, TIMELY,\n OR ERROR-FREE. See Sight Tours MAKES NO GUARANTEE, WARRANTY OR\n REPRESENTATION AS TO THE AMOUNT OF COMMISSION THAT MAY BE\n GENERATED BY YOU PURSUANT TO THIS AGREEMENT.\n

\n 7. Limitation of Liability\n

\n TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE\n LIABLE TO THE OTHER PARTY OR ANY THIRD PARTY FOR ANY INDIRECT,\n INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL LOSS OR PUNITIVE DAMAGES\n UNDER ANY CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, LOSS OF\n REVENUES OR LOSS OF PROFITS, OR COSTS TO PROCURE SUBSTITUTE\n GOODS, EVEN IF ADVISED OF THE RISK OF THE LOSS OR DAMAGES IN\n ADVANCE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE\n LIABILITY TO YOU WILL NOT EXCEED $10,000. NONE OF THE FOREGOING\n LIMITATIONS SHALL APPLY TO YOUR BREACH OF SECTIONS 8, 9 OR THE\n TERMS OF ANY LICENSE, OR YOUR INDEMNIFICATION OBLIGATIONS UNDER\n THIS AGREEMENT, FOR WHICH LIABILITY SHALL IN EACH CASE BE\n UNLIMITED.\n

8. Confidentiality

\n

\n During the course of your use of the Services, you may receive\n confidential and/or proprietary information relating to us, our\n corporate group, and/or to the Services that is not known to the\n general public (including, without limitation, all information\n pertaining to Commissions, the See Sight Tours Marketplace, the\n Agent Marketplace, and the terms of this Agreement)\n (“Confidential Information”). You agree that:\n

    \n
  1. \n (a) all Confidential Information will remain See Sight\n Tours’s exclusive property;\n
    2. \n
  2. \n (b) you will use Confidential Information only as is\n reasonably necessary for your participation in the Services;\n
    3. \n
  3. \n (c) you will not directly or indirectly (including through a\n third party) otherwise disclose Confidential Information to\n any individual, company, or other third party; and\n
    4. \n
  4. \n (d) you will take all reasonable measures to protect the\n Confidential Information against any use or disclosure that\n is not expressly permitted in this Agreement.\n

\n 9. Privacy; Data Security.\n

\n

\n Each party shall ensure that any collection, use and disclosure\n of Customer Information obtained by such party pursuant to this\n Agreement complies with Data Protection Laws. Neither party\n shall send any unsolicited commercial email or other online\n communication (e.g., \"spam\") to Customers. You shall take all\n appropriate measures to secure the confidentiality of Customer\n Information in your possession and to protect such Customer\n Information from unauthorized use or disclosure. If either party\n shares any personal data (whether Customer Information or\n otherwise) with the other party pursuant to this Agreement, the\n following terms shall apply:\n

\n

\n 9.1 Each party shall only process the personal\n data in accordance with the Data Protection Laws, including:\n

    \n
  1. \n (a) process the personal data lawfully, fairly and in a\n transparent manner in relation to the data subjects;\n
    2. \n
  2. \n (b) treat the personal data as confidential and ensure that\n its employees will treat the personal data as confidential;\n
    3. \n
  3. \n (c) only process the personal data for limited and specified\n purposes;\n
    4. \n
  4. \n (d) not retain the personal data for longer than is\n necessary to carry out the purposes for which it has\n obtained the personal data; and\n
    5. \n
  5. \n (e) implement appropriate security measures to protect the\n personal data, including appropriate technical and\n organizational measures, to protect against unauthorized or\n unlawful processing and against accidental loss, destruction\n or damage, including inter alia:\n
      \n
    1. \n (i) the pseudonymisation and encryption of the personal\n data;\n
      2. \n
    2. \n (ii) the ability to ensure the ongoing confidentiality,\n integrity, availability and resilience of processing\n systems and services;\n
      3. \n
    3. \n (iii) the ability to restore the availability and access\n to the personal data in a timely manner in the event of\n a physical or technical incident; and\n
      4. \n
    4. \n (iv) a process for regularly testing, assessing and\n evaluating the effectiveness of technical and\n organizational measures for ensuring the security of the\n processing.\n

\n 9.2Where either party becomes aware of\n inaccuracies of the personal data received from the other party,\n it will notify the other party thereof.\n

\n 9.3 Each party may transfer the personal data\n outside the European Economic Area if it complies with the\n provisions of the Data Protection Laws on the transfer of\n personal data to third countries.\n

\n

\n 9.4 Each party will hold the other party\n harmless of any claims, damages, penalties and any costs or\n fees, of whatever nature incurred by the party or for which the\n party may become liable due to any failure by the other party or\n its employees or agents to comply with any of its obligations\n under this Section 9, or any Data Protection Laws.\n

10. Force majeure

\n

\n We will not be liable for any delay or failure to perform any of\n our obligations under this Agreement by reasons, events or other\n matters beyond our reasonable control.\n

\n

\n 11. Entire Agreement; Modifications; Waivers.\n

\n

\n This Agreement constitutes the entire agreement between the\n parties pertaining to its subject matter, and supersedes all\n prior and contemporaneous agreements, arrangements and\n understandings between the parties with respect to such subject\n matter. We may amend any of the terms and conditions contained\n in this Agreement (including any of the Service Terms) at any\n time and at our sole discretion. Any changes will be effective\n upon the posting of such changes on the See Sight Tours Partner\n Program platform or otherwise upon notification to you by any\n means, and you are responsible for reviewing and informing\n yourself of all applicable changes or notices. YOUR CONTINUED\n USE OF ANY SERVICE AFTER See Sight Tours’s POSTING OF ANY\n CHANGES WILL CONSTITUTE YOUR ACCEPTANCE OF SUCH CHANGES OR\n MODIFICATIONS. In no event will a waiver of any right hereunder\n constitute the waiver of the right in a future instance unless\n the waiver so specifies in writing. Any modification, amendment,\n or waiver effected in accordance with this Section shall be\n binding upon each of the Parties, and each of their respective\n successors and assigns.\n

12. No Assignment.

\n

\n You may not assign this Agreement in whole or in part or\n delegate any of its right or obligations hereunder without See\n Sight Tours's prior written consent. Any attempted assignment in\n violation of the foregoing will be null and void. Subject to the\n foregoing, this Agreement will bind and insure to the benefit of\n each party's successors and permitted assigns.\n

13. Severability.

\n

\n If one or more provisions of this Agreement are held to be\n unenforceable under applicable law the parties agree to\n renegotiate the provision in good faith. In the event the\n parties cannot reach a mutually agreeable and enforceable\n replacement for the provision, then:\n

  1. \n (i) the provision shall be excluded from this Agreement;\n
    2. \n
  2. \n (ii) the balance of this Agreement shall be interpreted as\n if the provision were so excluded; and\n
    3. \n
  3. \n (iii) the balance of this Agreement shall be enforceable in\n accordance with its terms.\n
    4. \n

14. Publicity.

\n

\n You may not issue a press release, advertisement or public\n statement concerning the existence or contents of this Agreement\n or the relationship of the parties without the prior written\n consent of See Sight Tours. Notwithstanding the foregoing, See\n Sight Tours may issue a press release, advertisement or public\n statement referencing you as a member of the See Sight Tours\n Partner Program (or user of any of the Services).\n

\n 15. Relationship of the Parties.\n

\n

\n The relationship created by this Agreement is solely that of\n independent contractors and the parties hereby acknowledge and\n agree that nothing in this Agreement will be deemed to\n constitute either party as an employee or an agent of the other\n party. This Agreement will not be construed as constituting a\n partnership or create any other form of joint venture. Neither\n party will have any power or express or implied authorization to\n bind the other party or to assume or to create any obligation or\n responsibility, express or implied, on behalf of the other party\n or in the other party's name. You will not make any statement,\n whether on your site or otherwise, that would contradict\n anything in this section.\n

16. Notices.

\n Unless otherwise provided herein, all notices under this\n Agreement from you to See Sight Tours shall be in writing and\n shall be delivered to the address set forth below, and such\n notices shall be deemed to have been given upon receipt.\n Notwithstanding the foregoing, See Sight Tours may provide\n notices to you via email or by other online messaging tools in\n connection with amendments to this Agreement or otherwise (with\n such notices deemed to have been given upon sending/posting):\n

17. Dispute Resolution.

\n Any controversy, claim or dispute arising out of or relating to\n this Agreement, or the obligation of a party hereunder will be\n settled exclusively in accordance with Section 17 and 18,\n whether based in contract, tort, statute, fraud,\n misrepresentation or any other legal theory. The English\n language version of this Agreement shall govern and all\n proceedings conducted shall be conducted in English.\n

\n 18. Governing Law and Jurisdiction.\n

\n

\n This Agreement and the rights and obligations of the parties\n will be construed in accordance with and governed by the laws of\n the State of Delaware. You hereby consent to the exclusive\n jurisdiction and venue of courts located in Delaware.\n

\n

\n 19. General Terms Definitions\n

\n

\n 19.1\"Agent Marketplace” means See Sight Tours\n booking platform for use by Agents (as defined in the applicable\n Service Terms), which may be accessible via travel agents.See\n Sight Tours.com or such other URL that See Sight Tours may\n update from time to time.\n

\n

\n 19.2“Commission” means the commission payable\n by See Sight Tours to you as further described in the applicable\n Service Terms.\n

\n

\n 19.3 “Commission Rate” means the percentage\n rate of Commission either as set forth in the applicable Service\n Terms, or as otherwise specified in your See Sight Tours Partner\n Program Account.\n

\n

\n 19.4 “Customer” means a person who purchases a\n Travel Product pursuant to the applicable Service Terms.\n

\n

\n 19.5 “Customer Information” means personally\n identifiable information of individual Customers, including\n name, address, phone number, e-mail address, date of birth,\n social security number, credit card information, driver's\n license number, account numbers, PINs and/or passwords, and any\n other information that could reasonably identify a person or\n entity.\n

\n

\n 19.6 “Data Protection Laws” means all\n applicable laws, regulations and standards relating to data\n protection and privacy, including but not limited to Regulation\n (EU) 2016/679.\n

\n

\n 19.7 “End User” means a person who uses a\n Partner Site.\n

\n

\n 19.8 “Minimum Payment Threshold” means fifty\n United States dollars (US$50.00).\n

\n

\n 19.9 “Participation Data” means any\n information, analytics, content and/or intelligence that is made\n available to you through your use of the See Sight Tours Partner\n Program.\n

\n

\n 19.10“Partner Site” means any website,\n platform, channel and/or application owned, operated and\n maintained by you.\n

\n

\n 19.11“Reservation” means the purchase of a\n Travel Product by a Customer.\n

\n

\n 19.12“Retail Rate” means the rate for retail\n sale of a Travel Product to a Customer via the See Sight Tours\n Marketplace.\n

\n

\n 19.13 “Supplier” means the third-party provider\n of a Travel Product.\n

\n

\n 19.14 “Travel Product” means a travel- and/or\n tourism-related tour, excursion, activity, venue, ticket,\n experience and/or related service.\n

\n

\n 19.15 “Travel Product Information” means any\n information related to a Travel Product provided to you by See\n Sight Tours under this Agreement.\n

\n

\n 19.16 “Undesirable Material” means any material\n that a reasonable person may regard as offensive or that is\n illegal including, but not limited to defamatory or potentially\n defamatory, abusive or indecent material, expressions of\n bigotry, racism, sexism, ageism, hatred or profanity,\n information about illegal activities, material promoting harm or\n injury to any group or individual, any material likely to breach\n confidence, copyright, privacy and other rights and/or any\n material that is defined as prohibited content or potentially\n prohibited content or is illegal content under applicable laws\n in any jurisdiction.\n

\n

\n 19.17 “See Sight Tours Marketplace” means the\n online marketplace operated by See Sight Tours on which Travel\n Products are marketed and made available to purchase.\n

\n

\n 19.18 “See Sight Tours Terms and Conditions”\n means the terms and conditions hosted at{' '}\n \n https://www.see sight tours.com/terms-and-conditions\n {' '}\n or via such other link as See Sight Tours may determine on the\n See Sight Tours Marketplace or Agent Marketplace.\n

\n [A] See Sight Tours AGENT PROGRAM SERVICE TERMS\n

\n

\n The See Sight Tours Agent Program is a Service that enables\n Agents (as defined in these Service Terms) to access the Agent\n Marketplace for the purpose of purchasing Travel Products on\n behalf of Customers, and/or of sending Referral Links to\n Customers to facilitate their purchases on the See Sight Tours\n Marketplace, and to earn Commissions from See Sight Tours.\n

\n

\n These Service Terms are part of the See Sight Tours Partner\n Program Agreement but, unless specifically provided otherwise,\n concern and apply only to your participation in the See Sight\n Tours Agent Program. Unless defined in these Service Terms, all\n capitalized terms have the meanings given to them in the See\n Sight Tours Partner Program Agreement.\n

\n A-1 Sponsoring Agents, Affiliated Agents and Unaffiliated\n Agents.\n

\n

\n A-1.1 Overview. There are three categories of\n Agents permitted by See Sight Tours to participate in the See\n Sight Tours Agent Program: Sponsoring Agents, Affiliated Agents\n and Unaffiliated Agents. If See Sight Tours authorizes you to\n permit Affiliated Agents to process Transactions under your See\n Sight Tours Partner Program Account, then you are a Sponsoring\n Agent. If you have been invited by a Sponsoring Agent to\n register for use of the Agent Marketplace and/or are authorized\n by a Sponsoring Agent to process Transactions on their Agent\n Marketplace account, then you are an Affiliated Agent. If\n neither of the foregoing categories apply to you, then you are\n an Unaffiliated Agent.\n

\n

\n A-1.2 Provisions Applicable Only to Sponsoring\n Agents. If you are a Sponsoring Agent, then you agree to the\n following:\n

\n A-1.2.1 Use of Your Agent Marketplace Account.\n You are responsible for any use of your Agent Marketplace\n account, including with respect to any access or use of your\n account by your Affiliated Agents.\n

\n

\n A-1.2.2 Commercial Terms and Commissions. You\n are also solely responsible for determining any commercial terms\n between you and your Affiliated Agents with respect to\n Transactions processed by such Affiliated Agents under your\n Agent Marketplace account, including the amount of and payment\n terms applicable to commissions or other fees, if any.\n Affiliated Agents shall look solely to you, and not See Sight\n Tours, for any payments related to Transactions processed under\n your Agent Marketplace account.\n

\n

\n A-1.3 Provisions Applicable Only to Affiliated\n Agents. If you are an Affiliated Agent, then you agree to the\n following:\n

\n

\n A-1.3.1 Use of Sponsoring Agent’s Agent\n Marketplace Account. Your use of your Sponsoring Agent’s Agent\n Marketplace account is subject to:\n

    \n
  1. (a) your Sponsoring Agent’s continuing authorization,
    2. \n
  2. \n (b) your Sponsoring Agent’s continuing good standing under\n the See Sight Tours Agent Partner Program, and\n
    3. \n
  3. (c) your compliance with the terms of this Agreement.
    4. \n
\n You acknowledge and agree that your access to your Sponsoring\n Agent’s Agent Marketplace Account may be rescinded by your\n Sponsoring Agent at any time, in their sole discretion.\n

\n\n

\n A-1.3.2 Commercial Terms and Commissions. You\n are solely responsible for determining any commercial terms\n between you and your Sponsoring Agent with respect to\n Transactions processed by you under their Agent Marketplace\n account, including the amount of and payment terms applicable to\n commissions or other fees, if any. You shall look solely to your\n Sponsoring Agent, and not See Sight Tours, for any payments\n related to Transactions processed by you under your Sponsoring\n Agent’s Agent Marketplace account.\n

\n

\n A-1.3.3 Provisions Inapplicable to Affiliated\n Agents. The following provisions of this Agreement are\n inapplicable to you: A-6 (Commissions; Payment), and A-9\n (Insurance). You acknowledge and agree that the remaining\n provisions of this Agreement are applicable to you.\n

\n
\n
\n

A-2 Referral Links

\n

\n A-2.1 See Sight Tours may make Referral Links\n available to you for use as described in this Agreement. You\n shall not modify the Referral Links in any way. See Sight Tours\n shall not be responsible for errors that occur in the tracking\n of Referred Transactions if you have made, or caused, any such\n modification. You acknowledge and agree that it is your\n responsibility to properly format all Referral Links.\n

\n

\n A-2.2 You shall only post or share Referral\n Links on your own website and/or social media pages/feeds\n controlled by you. You may use Referral Links within e-mails,\n but solely to the extent that such emails are sent by you to\n persons who have provided you with explicit consent to receive\n such emails.\n

\n

\n A-2.3 See Sight Tours may at any time, without\n prior notice, remove any or all Referral Links, require you to\n remove any or all Referral Links, or modify any or all Referral\n Links.\n

\n

\n A-2.4 See Sight Tours will pay you Commissions\n on Referred Transactions, subject to the exclusions set out\n below and in accordance with these Service Terms and the terms\n of the Agreement. A “Referred Transaction” occurs when:\n

    \n
  1. \n (a) a person clicks through a Referral Link to the See Sight\n Tours Marketplace, and\n
    2. \n
  2. \n (b) during the same user session, that person purchases a\n Travel Product (thereby becoming a Customer).\n
    3. \n
\n If a person initially visits the See Sight Tours Marketplace\n using a Referral Link, any Travel Product purchase completed by\n such person within thirty (30) days (whether or not made via a\n Referral Link) will count as a Referred Transaction if it\n otherwise meets the requirements of this Agreement, including\n but not limited to the provisions of Section A-2.5.\n

\n A-2.5 See Sight Tours does not accept\n responsibility for persons who may delete or otherwise not\n accept cookies used to track return visits to the See Sight\n Tours Marketplace after a person’s initial visit via a Referral\n Link, and See Sight Tours shall not be required to pay\n Commissions in respect of purchases made during any untracked\n return visits. In addition, See Sight Tours shall not pay\n Commissions in respect of purchases made by a person who\n revisits the See Sight Tours Marketplace during the thirty (30)\n day period referred to in Section A-2.4 but:\n

    \n
  1. \n (a) whose last click prior to landing on the See Sight Tours\n Marketplace is another Internet site, search engine, social\n media site, advertisement and/or link; or\n
    2. \n
  2. \n (b) who clicked on a link belonging to one of See Sight\n Tours distribution partners prior to clicking on a Referral\n Link in circumstances where (due to See Sight Tours\n pre-existing commercial relationship with such distribution\n partner) the purchase is attributed to the distribution\n partner rather than you.\n
    3. \n
\n You acknowledge and agree that all tracking and reporting shall\n be conducted by See Sight Tours, and only See Sight Tours\n tracking and reporting data will be used to determine whether\n Commissions are payable to you.\n

A-3 License

\n

\n A-3.1 Subject to the terms and conditions of\n this Agreement, See Sight Tours hereby grants to you a\n royalty-free, world- wide, limited, non-transferable,\n non-sublicensable, non-assignable, non-exclusive license during\n the term of these See Sight Tours Agent Program Service Terms to\n access and use the Agent Marketplace and See Sight Tours\n Marketplace and, subject to Section 3.1 of the General Terms,\n use,reproduce, distribute and display the Travel Product\n Information solely for the limited purpose of promoting and\n facilitating the purchase of Travel Products by or on behalf of\n Customers.\n

A-4 Transactions

\n

\n A-4.1 Transaction Confirmation. Upon completion\n of a Transaction, See Sight Tours will provide the Customer\n (and/or you, as applicable) with an electronic acknowledgment\n and Ticket for such Transaction.\n

\n\n

\n A-4.2 Conditions of Your Purchasing as\n Customer’s Agent. You may enter into a Transaction on behalf of\n a Customer, provided that you shall in every case:\n

    \n
  1. \n (a) notify the Customer that the See Sight Tours Terms and\n Conditions shall govern such Customer’s receipt and use of\n all Travel Products purchased in connection with such\n Transaction and provide all of the Travel Product\n Information applicable to such Travel Products, so as to\n effectively incorporate (in the manner required by\n applicable law) the See Sight Tours Terms and Conditions and\n Travel Product Information into the contract for sale of\n such Travel Product; and\n
    2. \n
  2. \n (b) not make or give any representations, warranties or\n other promises concerning a Travel Product beyond those\n contained in the See Sight Tours Terms and Conditions and\n the applicable Travel Product Information.\n

\n A-4.3 Payment for Transactions. See Sight\n Tours, acting solely as the applicable Supplier’s payment\n processing agent, will be the merchant of record for all\n Transactions and will be responsible for charging and collecting\n all amounts payable for Transactions from Customers and/or you.\n See Sight Tours shall be responsible for all credit card\n merchant fees and credit card chargebacks associated with a\n Transaction. See Sight Tours shall be responsible for all\n payments to Suppliers for Travel Products. See Sight Tours or\n the applicable Supplier shall be responsible for paying any\n federal, state or local taxes imposed by applicable government\n entities with respect to Transactions, other than any taxes\n applicable to your receipt of Commissions.\n

A-5 Support

\n

\n A-5.1 See Sight Tours will provide you and\n Customers with email-based support for the purpose of responding\n to and resolving issues associated with a Travel Product or\n Transaction.\n

\n

A-6 Commissions; Payment

\n

\n A-6.1 Subject to Sections A-6.2 and A-7, if you\n are a Sponsoring Agent or an Unaffiliated Agent, See Sight Tours\n shall pay you a Commission of twelve percent (12%) of the Retail\n Rate of each Travel Product that is included in a Transaction\n (including Referred Transactions), net of all cancellations and\n partial or full refunds.\n

\n

\n A-6.2 See Sight Tours may, in its sole\n discretion, enter into an incentive agreement with you with\n respect to any additional fees to be paid to you pursuant to\n this Agreement.\n

\n

\n A-6.3 Commissions shall be paid via Electronic\n Funds Transfer or any other method approved by See Sight Tours\n in the month following the calendar month in which each Travel\n Product purchased in a Transaction is availed. In the event the\n total amount of Commissions due in any month is less than the\n Minimum Payment Threshold then payment will be withheld until\n the earlier of:\n

    \n
  1. \n (a) such time as the total Commissions due (including the\n previously withheld amount) in a subsequent calendar month\n are equal to or greater than the Minimum Payment Threshold,\n or\n
    2. \n
  2. (b) the termination of this Agreement.

\n A-6.4 You acknowledge and agree that it is your\n responsibility to provide See Sight Tours with accurate and\n complete payment information, and that See Sight Tours has no\n obligation to pay you any Commissions unless or until you have\n provided such information.\n

\n

A-7 Effect of Termination

\n

\n A-7.1 Upon termination of these Service Terms\n or this Agreement for any reason, all licenses and rights\n granted to you pursuant to the Agreement will immediately\n terminate, and you shall cease using the Agent Marketplace and\n See Sight Tours Marketplace. You shall not be entitled to\n receive any Commissions in respect of Transactions that occur\n after the termination date. Notwithstanding the foregoing, if\n See Sight Tours terminates these Service Terms or this Agreement\n due to your breach (or if See Sight Tours has reason to believe\n there has been such a breach), you shall not be entitled to\n receive any Commissions that may otherwise have been payable\n after the termination date, including for Transactions made\n prior to the date of termination. Sections A-10 (Definitions),\n A-1.2 (Provisions Applicable Only to Sponsoring Agents), A-1.3\n (Provisions Applicable Only to Affiliated Agents),\n A-6(Commissions: Payment) and A-8 (Indemnity) shall survive any\n termination or expiration of this Agreement.\n

A-8 Indemnity

\n

\n A-8.1 In addition to the indemnification\n obligations set forth in the General Terms, if you are a\n Sponsoring Agent, such obligations shall also apply to any and\n all claims, losses, liabilities, damages, fines, penalties,\n settlements, expenses, and costs (including attorneys’ fees and\n court costs) incurred or suffered by a See Sight Tours\n Indemnified Party in connection with any third party claim,\n suit, demand, action, or investigation brought against a See\n Sight Tours Indemnified Party directly or indirectly arising out\n of or relating to any breach (or a claim that, if true, would be\n a breach) of the Agreement by any of your Affiliated Agents.\n

A-9 Insurance

\n

\n A-9.1 You will procure and maintain a current\n Public (Product) liability insurance (PLI) and errors and\n omissions insurance with coverage limits consistent with\n industry standards and as may be required by applicable laws,\n rules, and regulations. Such insurance will be provided through\n an insurer acceptable to See Sight Tours with an A.M. Best (or\n its equivalent) financial strength rating of A-VII or higher,\n and will include, without limitation, completed operations,\n blanket contractual liability, and personal injury and\n advertising liability. You will add See Sight Tours as an\n additional insured to such insurance policies and will provide a\n certificate of insurance evidencing all of the coverage\n described in this Section A-9 and that See Sight Tours has been\n added as an additional insured. Such insurance carried by you\n will be primary to any insurance carried by See Sight Tours and\n if you are a Sponsoring Agent, such insurance will provide\n coverage for your Affiliated Agents to the same extent as you.\n Notwithstanding the foregoing, See Sight Tours reserves the\n right to require specific additional coverage or increased\n coverage, or to waive the foregoing insurance requirements, and\n you will maintain your insurance at such levels upon See Sight\n Tours request. Such coverage and limits will not be deemed to be\n a limitation on your liability to See Sight Tours, if any,\n arising under this Agreement.\n

A-10 Vehicle Insurance

\n

\n A-10.1 As a guide providing tours through See\n Sight Tours platform, you are required to maintain valid and\n adequate vehicle insurance for any vehicle used during tours.\n This vehicle insurance should meet the following criteria:\n

  • \n Comprehensive Coverage: The insurance must\n provide comprehensive coverage for the vehicle against\n damages, theft, accidents, and any other relevant risks.\n
    • \n\n
  • \n Third-Party Liability: The insurance policy\n should include third-party liability coverage to protect\n against claims or damages arising from accidents involving the\n vehicle during tours.\n
    • \n\n
  • \n Coverage Limits: The coverage limits for the\n vehicle insurance should be in accordance with industry\n standards and as required by applicable laws and regulations.\n
    • \n\n
  • \n Insurance Provider: The vehicle insurance\n must be obtained from an insurer acceptable to See Sight\n Tours, with a strong financial strength rating (A.M. Best\n A-VII or higher) or an equivalent rating.\n
    • \n\n
  • \n Additional Insured: See Sight Tours must be\n added as an additional insured party to the vehicle insurance\n policy, and you must provide a certificate of insurance\n confirming See Sight Tours status as an additional insured.\n
    • \n
    \n\n

    \n A-10.2 The vehicle insurance maintained by you\n will be considered primary to any insurance carried by See Sight\n Tours, and it should provide coverage for any damages or\n liabilities related to the vehicle used for tours\n

    \n A-11 See Sight Tours Agent Service Definitions\n

    \n

    \n A-11.1 “Affiliated Agent” means an Agent that\n has been authorized by a Sponsoring Agent to utilize such\n Sponsoring Agent’s Agent Marketplace account to process\n Transactions, as described more fully in Section A-1.\n

    \n

    \n A-11.2“Agent” means a person acting in the\n course of business and in the manner required by applicable law\n who is engaged in marketing and/or arranging transportation,\n accommodations, tours or trips for travelers, which may include\n acting as a booking agent on behalf of such travelers.\n

    \n

    \n A-11.3“Commission” means a fee paid to a\n Sponsoring Agent or Unaffiliated Agent for each Transaction in\n accordance with these Service Terms (including any additional\n fees that may be agreed between the parties pursuant to Section\n A-6).\n

    \n

    \n A-11.4“Referral Link” means a unique tracking\n link that See Sight Tours may make available to you, used for\n linking to web pages on the See Sight Tours Marketplace.\n

    \n

    \n A-11.5 “Referred Transaction” means a\n Transaction concluded in accordance with Section A-2.4.\n

    \n

    \n A-11.6“Sponsoring Agent” means an Agent that\n has been authorized by See Sight Tours to invite Affiliate\n Agents to register for access to the Agent Marketplace and\n permit such Affiliated Agents to utilize such Sponsoring Agent’s\n Agent Marketplace account to process Transactions, as described\n more fully in Section A-1.\n

    \n

    \n A-11.7“Ticket” means an electronic document\n that may include the trademarks of See Sight Tours, is provided\n by See Sight Tours to a Customer in connection with the\n completion of a Transaction, contains relevant information about\n the Travel Product(s) specified in the Transaction (e.g.,\n booking-related information) and that the Customer must present\n to the applicable Supplier to redeem such Travel Product(s).\n

    \n

    \n A-11.8“Transaction” means the purchase of a\n Travel Product in accordance with the terms of this Agreement,\n that is either\n

    \n (a) by you acting as a Customer’s agent, or\n

    \n

    \n (b) by a Customer through a Referral Link, in either case on\n behalf of one or more travelers in a single travel itinerary,\n and where the sale is processed on the Agent Marketplace (in\n the case of (a)) or See Sight Tours Marketplace (in the case\n of (b)) using the access credentials or other unique\n identifiers provided by See Sight Tours to you (if you are a\n Sponsoring Agent or Unaffiliated Agent) or by a Sponsoring\n Agent to you (if you are an Affiliated Agent). A Referred\n Transaction is a type of Transaction.\n

    \n A-11.9“Unaffiliated Agent” means an Agent that\n is not a Sponsoring Agent or Affiliated Agent, as described more\n fully Section A-1.\n

    \n [B] See Sight Tours AFFILIATE PROGRAM SERVICE TERMS\n

    \n

    \n The See Sight Tours Affiliate Program is a Service that enables\n you to publish Travel Products and integrate Travel Products on\n the Partner Site owned and operated by you, and to generate\n Reservations in return for the payment of Commission for\n fulfilled bookings. The See Sight Tours Affiliate Program may\n also allow you to participate by receiving from See Sight Tours\n a QR code (or other similar technology) and/or unique URL\n directing to a page on the See Sight Tours Marketplace on which\n Travel Products selected by you may be published (“Affiliate\n Microsite”), and whereby fulfilled bookings made on such\n Affiliate Microsite through the corresponding Travel Product\n Links may result in Commission being paid to you. These Service\n Terms are part of the See Sight Tours Partner Program Agreement\n but, unless specifically provided otherwise, concern and apply\n only to your participation in the See Sight Tours Affiliate\n Program. Unless defined in these Service Terms, all capitalized\n terms have the meanings given to them in the See Sight Tours\n Partner Program Agreement.\n

    B-1 License

    \n

    \n B-1.1 General License. Subject to the terms and\n conditions of this Agreement, See Sight Tours hereby grants to\n you a royalty-free, world-wide, limited, revocable,\n non-transferable, non-sublicensable, non assignable,\n non-exclusive license during the term of these See Sight Tours\n Affiliate Program Service Terms to use, reproduce, incorporate,\n integrate and display the Travel Product Information and Travel\n Product Links on the Partner Site for the sole purpose of\n promoting the Travel Products to End Users, linking such End\n Users from the Partner Site to the See Sight Tours Marketplace.\n

    \n

    \n B-1.2 API License. See Sight Tours may (but\n shall be under no obligation to) provide you with API\n Credentials to access one or more See Sight Tours APIs for the\n purpose of participating in the See Sight Tours Affiliate\n Program. If See Sight Tours agrees to provide you with a See\n Sight Tours API, such provision shall be subject to a\n royalty-free, worldwide, limited, revocable, non-transferable,\n non-sublicensable, non-assignable, non-exclusive license to use\n such See Sight Tours API during the term of these See Sight\n Tours Affiliate Program Service Terms to access and use the\n Travel Product Information solely as set forth in Section B-1.1.\n

    \n

    \n B-1.3 Additional API License Conditions. If you\n are granted access to one or more See Sight Tours APIs, you\n must:\n

      \n
    1. \n (a) keep the API Credentials secure and you may not share\n the API Credentials with any third party;\n
      2. \n
    2. \n (b) use the See Sight Tours API solely to participate in the\n See Sight Tours Affiliate Program as described in these\n Service Terms, and strictly in accordance with the API\n Documentation;\n
      3. \n
    3. \n (c) comply with any and all limits on your use of the See\n Sight Tours API that See Sight Tours may set from time to\n time;\n
      4. \n
    4. \n (d) not do any of the following:\n
        \n
      1. \n (i) distribute, sell, lend, transfer, assign or\n sublicense the licensed rights;\n
        2. \n
      2. \n (ii) use the See Sight Tours API in order to monitor the\n availability, performance or functionality of the See\n Sight Tours API or the Service;\n
        3. \n
      3. \n (iii) engage in any activity that interferes with,\n disrupts, harms, or accesses in an unauthorized manner\n the servers, security, networks, data, applications or\n other properties or services of See Sight Tours or any\n third party; or\n
        4. \n
      4. \n (iv) modify, reverse engineer, copy, or create\n derivative works of the See Sight Tours API or the\n Service, or any aspect thereof.\n

    \n \n B-1.4 Affiliate Microsite. From time to time, See Sight Tours\n may provide you with a QR code (or similar technology) and/or\n unique URL (together, the “Affiliate Microsite Links”)\n directing to an Affiliate Microsite. In such circumstances,\n you may only share the Affiliate Microsite Links with your\n customers who you have reason to believe may be interested in\n the Travel Products available to book on the Affiliate\n Microsite.\n \n

    \n\n

    \n B-1.5 Partner Site. You may not cause or permit\n the display or use of any Travel Product Information or Travel\n Product Links through any website, channel, platform or system\n other than the Partner Site. You shall ensure that the Partner\n Site is not used to send, receive, upload, download, use or\n reuse any Undesirable Material.\n

    \n B-2 Affiliated Transactions\n

    \n

    \n B-2.1 Affiliated Transactions. Upon completion\n of an Affiliated Transaction, See Sight Tours will provide the\n applicable Customer with an electronic acknowledgment and Ticket\n for such Affiliated Transaction. See Sight Tours will be the\n merchant-of-record in all Affiliated Transactions.\n

    B-3 Commissions; Payment

    \n B-3.1 Subject to{' '}\n

    \n (a) any credit, cancellation or refund of an Affiliated\n Transaction, and\n

    \n B-3.2 The Commission Rate shall be based on a\n percentage of the Retail Rate received by See Sight Tours in\n respect of each Travel Product booked by a Customer (net of all\n cancellations, and partial or full refunds). The Commission Rate\n shall be as specified within your See Sight Tours Partner\n Program Account.\n

    \n B-3.3 Commissions shall be paid via Electronic\n Funds Transfer or any other method approved by See Sight Tours\n in the month following the calendar month in which each Travel\n Product purchased in an Affiliated Transaction is availed. In\n the event the total amount of Commissions due in any month is\n less than the Minimum Payment Threshold then payment will be\n withheld until the earlier of{' '}\n

You shall not be\n entitled to receive any Commissions in respect of Affiliated\n Transactions that occur after the termination date.\n Notwithstanding the foregoing, if See Sight Tours terminates\n these Service Terms or this Agreement due to your breach (or\n where See Sight Tours has reason to believe there has been such\n a breach), you shall not be entitled to receive any Commissions\n that may otherwise have been payable after the termination date,\n including for Affiliated Transactions made prior to the date of\n termination.\n

    \n B-5 See Sight Tours Affiliate Service Definitions\n

    \n

    \n B-5.1 “Affiliated Transaction” means a\n Reservation by a Customer on behalf of one or more travelers in\n a single travel itinerary, that takes place on the See Sight\n Tours Marketplace after originating from a click on a Travel\n Product Link on the Partner Site or the Affiliate Microsite\n (such click need not be on the See Sight Tours Product that is\n subsequently booked on the See Sight Tours Marketplace) within\n the validity period of thirty (30) days of a cookie being placed\n on the Customer’s device after visiting the Partner Site or\n Affiliate Microsite.\n

    \n

    \n B-5.2 “API Credentials” means the credentials\n that allow you to make authenticated requests to a See Sight\n Tours API.\n

    \n

    \n B-5.3 “API Documentation” means the technical\n documentation made available to you by See Sight Tours setting\n out the terms on which the See Sight Tours API must be used\n (which may be updated by See Sight Tours from time to time).\n

    \n

    \n B-5.4 “Travel Product Links” means HTML links\n that are made available to you by See Sight Tours that are\n intended to link End Users from the Partner Site to the See\n Sight Tours Marketplace.\n

    \n

    \n B-5.5 “See Sight Tours API” means an\n application programming interface proprietary to See Sight\n Tours.\n
